Working Terms

Noise & Vibration Solutions UK Ltd

These Working Terms apply to all services provided by Noise & Vibration Solutions UK Ltd (“NVS”, “we”, “us”, “our”), including noise and vibration assessments, reporting, and training services.

Submission of a purchase order, written instruction to proceed, or confirmation of acceptance constitutes acceptance of these Working Terms.

 

1. Scope of services

Services will be delivered in accordance with the agreed proposal, scope, and pre-site information provided by the client.

Work is limited to the activities, sites, and services expressly agreed in advance. Any additional sites, extended scope, or further activities must be agreed prior to the visit and may incur additional fees.

 

2. Pre-site information and cooperation

The client is responsible for completing any pre-site questionnaires accurately and in full, and for providing all relevant information requested in advance of the visit.

It is essential that the client notifies NVS as soon as possible if any material changes occur between completion of the pre-site questionnaire and the site visit. This includes, but is not limited to:

~ key equipment no longer operating

~ changes to processes or activities

~ changes to staff availability or competence

Failure to notify such changes may result in the assessment being less complete or accurate than intended, or the visit being cancelled if the work can no longer be carried out meaningfully.

 

3. Site readiness and competent personnel

The client is responsible for ensuring that:

~ the site is operating as described

~ equipment to be assessed is available and in use

~ relevant processes are running during the visit

~ suitably trained and competent personnel are available to operate tools and equipment provide accurate information

Where appropriate personnel are not available (for example, where only inexperienced or trainee staff are present), this may limit the scope or quality of the assessment.

 

4. Basis of advice and limitations

All advice, findings, and reports are based on:

~ information provided by the client

~ observations made during the site visit

~ site conditions at the time of the assessment

NVS cannot be responsible for inaccuracies arising from incomplete, incorrect, or misleading information, or from conditions that differ materially from those described prior to the visit.

Where limitations affect the scope or accuracy of the assessment, these will be reflected in the report.

5. Cancellation, rearrangement, and wasted visits

Where a booking is cancelled or rearranged after accommodation, travel, or specialist equipment has been booked, NVS will make reasonable efforts to recover or cancel those arrangements.

Where costs cannot be recovered, the client will be responsible for any non-refundable expenses, including accommodation, travel, or hired equipment.

If a site visit is cancelled within 24hours prior to arrival on site, the following charges will apply:

~ Mainland UK: non-recoverable expenses plus ½ day consultancy fee

~ Northern Ireland, Republic of Ireland, or EU travel: non-recoverable expenses plus 1 full day consultancy fee

These charges reflect wasted travel and time and are not intended as a penalty.

6. Reasonable flexibility

NVS will make reasonable efforts to accommodate changes to site arrangements where possible.

However, flexibility is subject to:

~ time available on the day

~ travel and accommodation constraints

~ the need to avoid fatigue or compromised assessment quality

NVS will not be expected to combine multiple site visits into a single booking where this would adversely affect the quality or reliability of the work.

 

7. Equipment – loss or damage

 

The client is responsible for any loss of or damage to equipment belonging to NVS that occurs during site activities.

This includes damage that becomes apparent after the visit, where the cause is consistent with site conditions or activities during the survey (for example, moisture ingress or contamination).

The client will be responsible for reasonable repair or replacement costs where loss or damage occurs.

8. Site safety, welfare, and PPE

The client is responsible for providing:

~ safe site access

~ reasonable welfare facilities, including access to drinking water and toilet facilities

~ allowance for appropriate rest breaks during site work

The client must provide any site-specific personal protective equipment (PPE) required, other than generic PPE normally carried by the consultant.

All PPE provided must be fit for purpose and available in suitable sizes. NVS will not be expected to wear ill-fitting or unsuitable PPE that could present a risk to health or safety.

9. Training delivery and delegate arrangements

For training services, the client is responsible for ensuring that:

~ the training duration, start and finish times, and delivery format are clearly communicated to all delegates in advance

~ delegates are available for the full scheduled training period, including where training extends beyond normal working hours for some attendees

~ any attendance constraints (such as shift patterns, part-time working, or early departures) are identified and managed by the client prior to the training date

NVS cannot be responsible for disruption, reduced learning outcomes, or inability to deliver the full training content where delegates leave early or attendance has not been appropriately managed.

The client is also responsible for ensuring that:

~ training facilities are suitable for the agreed delivery format, as set out in the proposal or quotation

~ any prerequisites or preparatory requirements communicated in advance are met by delegates prior to attending

Where training delivery is compromised due to inadequate facilities, incomplete attendance, or failure to meet agreed prerequisites, the session will be deemed to have been delivered as booked.

 

10. Confidentiality and use of documents

All quotations, proposals, reports, training materials, and related documents are commercially confidential.

Clients may use reports internally for their own site and operational purposes. Documents must not be shared with third parties, other consultants, or other sites without prior written permission, except where disclosure is required by law or a regulatory authority.

 

11. Intellectual property

 

All reports, images, photographs, training materials, presentations, and content produced by NVS remain the intellectual property of Noise & Vibration Solutions UK Ltd, unless otherwise agreed in writing.

Clients must not reproduce, distribute, or reuse content for training or other purposes without prior written consent.

 

12. Acceptance of Working Terms

These Working Terms are provided with the proposal and form part of the contract for services.

Submission of a purchase order, written instruction to proceed, or confirmation of acceptance constitutes acceptance of these Working Terms.
